Plain-language summary. ClowdOps executes commands against your cloud infrastructure using credentials you provide. You are responsible for what those credentials permit. The agent can take real, irreversible actions — configure guardrails carefully and review the confirmation prompts before approving destructive operations.
1. Acceptance of terms

These Terms of Service ("Terms") are a legally binding agreement between you (or the organisation you represent, "Customer") and Flashback Corporation ("Flashback", "we", "us"), governing your use of the ClowdOps platform and all associated services (the "Service").

By creating an account, clicking "Get started", or otherwise accessing the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

If you do not agree to these Terms, do not use the Service.

2. Description of the Service

ClowdOps is a chat-oriented AI platform that allows users to run intelligent agents against cloud infrastructure. The Service enables users to:

  • Issue natural-language instructions that the agent translates into cloud API calls
  • Manage and execute operations across multiple cloud providers (AWS, Google Cloud, Azure, and others)
  • Automate cloud operations on a schedule using cron expressions
  • Discover and maintain a live inventory of cloud resources
  • Control agent behaviour through configurable guardrails, action grants, and cost caps

The Service is provided on a bring-your-own-credentials (BYOC) basis. You connect your own cloud provider accounts, AI model provider accounts, and notification services. Flashback does not provision or manage cloud infrastructure on your behalf.

3. Accounts and access

Registration

You must create an account with a valid email address to use the Service. You are responsible for keeping your account credentials secure and for all activity that occurs under your account.

Team members

Account holders may invite additional users as Admin or Member roles. Admins are responsible for configuring access controls and guardrails for all team members. You are responsible for the actions taken by users you invite to your organisation.

Account eligibility

You must be at least 18 years old and legally capable of forming a binding contract to use the Service. Use of the Service is void where prohibited.

Suspension

We reserve the right to suspend or terminate accounts that violate these Terms, engage in abusive behaviour, or pose a security risk to the Service or other users.

4. Your credentials and cloud accounts
Important: When you provide cloud credentials to ClowdOps, the agent will use them to execute real operations in your cloud accounts. Actions taken by the agent have the same effect as if you had performed them manually with the same permissions. Some operations — such as deleting resources or modifying IAM policies — may be irreversible.

By adding credentials to the Service, you:

  • Represent that you own or are authorised to use those credentials and the cloud accounts they access
  • Authorise the agent to perform operations using those credentials within the scope of the guardrails you configure
  • Accept responsibility for all charges and consequences resulting from agent operations in your cloud accounts
  • Agree to comply with the terms of service of the cloud providers whose credentials you provide

You are solely responsible for configuring appropriate IAM policies, permission boundaries, and guardrails to limit the scope of agent operations. We recommend following the principle of least privilege.

Flashback encrypts all credentials at rest and does not access them except to execute your agent runs. See our Privacy Policy for details.

5. AI agent operations

Autonomous execution

The ClowdOps agent uses large language models (LLMs) to interpret instructions and execute cloud operations. AI models can make mistakes. The agent may misinterpret ambiguous instructions, produce unexpected results, or take actions that are technically correct but not what you intended.

Your responsibility to review

Before approving any operation — especially write, create, delete, destroy, or modify actions — you are responsible for reviewing what the agent proposes to do. The in-chat confirmation prompt displays the exact command that will be executed. Use it.

Guardrails are your responsibility

ClowdOps provides guardrails (action grants and cost caps) that you can configure to limit what the agent is permitted to do. These controls are only as effective as you configure them to be. Flashback is not responsible for actions taken by the agent within the scope of permissions you have granted.

Scheduled runs

Scheduled runs execute without a human in the loop. Review the guardrails and command allowlists for each schedule carefully, as confirmation prompts default to deny for unattended runs.

Third-party AI providers

The Service routes prompts to third-party LLM providers (Anthropic, OpenAI, Google, AWS Bedrock). The quality, availability, and behaviour of the AI is subject to those providers' services and models. Flashback does not guarantee any particular level of AI accuracy or reasoning capability.

6. Acceptable use

You agree not to use the Service to:

  • Access, modify, or destroy cloud resources that you do not own or have explicit permission to operate
  • Circumvent security controls, access controls, or billing limits of cloud providers
  • Conduct denial-of-service attacks, generate excessive API traffic, or otherwise abuse cloud provider resources
  • Attempt to extract or reverse-engineer credentials, encryption keys, or other users' data from the Service
  • Use the Service in violation of applicable law, regulation, or third-party rights
  • Resell or sublicense access to the Service without our written consent
  • Introduce malware, exploits, or malicious payloads into agent prompts or tool outputs

We reserve the right to investigate suspected violations and to cooperate with law enforcement in connection with any illegal activity.

7. Intellectual property

Our IP

The ClowdOps platform, including all software, design, documentation, and branding, is owned by Flashback Corporation and protected by intellectual property laws. These Terms do not transfer any ownership of our IP to you.

Your data

You retain all rights to the data, credentials, and content you provide to the Service. You grant Flashback a limited licence to process your data solely as necessary to provide the Service as described in these Terms and the Privacy Policy.

Feedback

If you submit ideas, suggestions, or feedback about the Service, you grant Flashback a royalty-free, perpetual licence to use that feedback without any obligation to you.

8. Billing and payment

Subscription fees

Access to the Service may require a paid subscription. Fees, billing cycles, and plan details are described at the time of purchase and on your account settings page.

LLM token costs

Agent runs consume LLM tokens. Depending on your plan, token usage may be billed directly or deducted from an included allowance. The cost displayed per run reflects model inference costs and may include a service surcharge as disclosed in your plan.

Cloud provider costs

Operations performed by the agent in your cloud accounts will generate charges from your cloud provider. You are solely responsible for those costs. ClowdOps cost caps limit token spend on the AI model — they do not limit cloud infrastructure costs.

Cancellation and refunds

You may cancel your subscription at any time. Your access continues until the end of the billing period. We do not provide refunds for unused subscription periods except where required by law or at our sole discretion.

Payment failure

If payment fails, we may suspend access to the Service until payment is resolved. We will notify you before suspending access.

9. Confidentiality

Each party agrees to keep the other's Confidential Information strictly confidential and not to disclose it to third parties, using at minimum the same degree of care each uses to protect its own confidential information. "Confidential Information" includes account data, credentials, run outputs, and non-public technical information. This obligation does not apply to information that is publicly known, independently developed, or required to be disclosed by law.

10. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, FLASHBACK EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

We do not warrant that: (a) the Service will be uninterrupted, error-free, or secure; (b) the AI agent will interpret your instructions accurately or take the optimal action; (c) any specific cloud operation will succeed; or (d) the Service will be compatible with any particular cloud provider configuration.

You assume full responsibility for configuring guardrails and reviewing agent actions before approval.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FLASHBACK AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF DATA, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS, OR DESTRUCTION OF CLOUD RESOURCES — ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF FLASHBACK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL FLASHBACK'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO FLASHBACK IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100).

Some jurisdictions do not allow the exclusion or limitation of certain types of damages, so the above limitations may not apply to you in full.

12. Indemnification

You agree to indemnify, defend, and hold harmless Flashback Corporation and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your use of the Service or violation of these Terms
  • Operations performed by the agent using your credentials, including any resulting cloud infrastructure changes or costs
  • Your violation of any applicable law or third-party rights
  • Your misrepresentation of your authority to use the credentials or cloud accounts you provide
13. Termination

Termination by you

You may close your account at any time through your account settings. Upon closure, your credentials and data will be deleted in accordance with our Privacy Policy.

Termination by us

We may suspend or terminate your access to the Service immediately, with or without notice, if you violate these Terms, engage in conduct that we determine poses a risk to the Service or other users, or if required by law.

Effect of termination

Upon termination, your right to use the Service ceases immediately. Sections 7, 10, 11, 12, 15, and any other provisions that by their nature should survive termination will continue to apply.

14. Changes to these terms

We may modify these Terms from time to time. We will notify you of material changes by email and by posting the updated Terms with a new effective date. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and may close your account.

15. Governing law and disputes

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law principles.

Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally within 30 days shall be resolved by binding arbitration administered under the rules of the American Arbitration Association (AAA), with arbitration conducted in English. The arbitrator's decision shall be final and binding.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm.

You and Flashback agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
